Autodesk Completes Acquisition of Allpoint Systems Technology

Autodesk, Inc. (NASDAQ: ADSK), the leader in cloud-based design and engineering software, has completed the acquisition of technology and a development team from Allpoint Systems LLC, a Pittsburgh, PA-based developer of software and solutions for collecting and processing LiDAR (laser) point cloud data. The Allpoint Systems team and technology will help Autodesk expand the development of cloud-based reality capture software and solutions. Terms of the transaction were not disclosed.

The acquisition of Allpoint Systems reflects Autodesk’s continued investment in developing sophisticated, easy-to-use reality capture technologies. Reality capture is the practice of creating digital models of physical objects and spaces using photography, laser scanning and other technologies.

Allpoint Systems, LLC offers software and data processing solutions for collecting and processing LiDAR data to the roadway and building markets. The Allpoint Systems technology and team will bring to Autodesk significant data registration, automation and robotics technology and expertise that will expand Autodesk’s portfolio of reality capture software. The Allpoint Systems technology complements existing Autodesk capabilities, including previously acquired technology from Alice Labs and RealViz.

“Autodesk has a long history of making design technology more accessible, and this acquisition is a critical part of our effort to make it easier for our customers to start their design processes with models based on reality, instead of a blank page,” said Amar Hanspal, Autodesk senior vice president of Information Modeling and Platform Products. “We welcome the Allpoint team’s help accelerating the development of new reality capture solutions that make the most of the nearly infinite computational power of the cloud.”

Business Outlook

This transaction is expected to have no impact on guidance issued on November 15, 2012.

Safe Harbor Statement

This press release contains forward-looking statements that involve risks and uncertainties, including statements regarding: the impact of the acquisition on Autodesk's product and services offerings, the impact of the acquired technology on Autodesk's products and services capabilities, the impact of the acquisition on end-user functionality and workflow integration, and the accelerated expansion of Autodesk’s cloud-based reality capture software and solutions. Factors that could cause actual results to differ materially include the following: difficulties encountered in integrating the Allpoint Systems technology; costs related to the acquisition; whether certain market segments grow as anticipated; the competitive environment in the software industry and competitive responses to the acquisition; our success developing new products or modifying existing products and the degree to which these gain market acceptance; general market and business conditions; the timing and degree of expected investments in growth opportunities; pricing pressure; failure to achieve continued cost reductions and productivity increases; changes in the timing of product releases and retirements; failure of key new applications to achieve anticipated levels of customer acceptance; failure to achieve continued success in technology advancements; interruptions or terminations in the business of our consultants or third party developers; the expense and impact of legal or regulatory proceedings; and unanticipated impact of accounting for acquisitions.

Further information on potential factors that could affect the financial results of Autodesk are included in the company's annual report on Form 10-K for the year ended January 31, 2012, and Form 10-Q for the quarter ended October 31, 2012, which are on file with the Securities and Exchange Commission.
