Many people are concerned with the privacy, or lack thereof, that could occur with storing personal documents into a non-physical storage unit. PDH Withdraws Previous Private Placement and Announces New Convertible Unit Offering

VANCOUVER, BRITISH COLUMBIA -- (Marketwire) -- 01/30/13 -- Premier Diagnostic Health Service Inc. ("PDH") (CNSX:PDH) today withdrew its previously announced non-brokered private placement offering consisted of 2,500,000 units at a price of $0.20 per unit. Each unit consisted of two common shares of PDH valued at $0.10 per share and one purchase warrant to subscribe to a further share of PDH at $0.15 per share plus one bonus share.

The Company also announced today a new non-brokered private placement offering to accredited investors of 1000 units (the "Units") for aggregate gross proceeds of up to $1,000,000 (the "Convertible Unit Offering").

The 2013 Convertible Unit Offering will consist of one $1,000 par value unsecured convertible debenture ("Debentures") and 1000 common shares at an issue price of $.10 per share. The minimum subscription is 10 Units ($10,000). The Debentures will mature on July 31, 2016 (if not otherwise converted) and bear interest at a rate of 8% per annum payable on July 31 and December 31 each year during the term or the earlier of conversion or maturity. The Debentures are convertible into common shares of the Company ("Common Shares") at any time prior to maturity, in whole or in part, at the option of the holder, at a conversion rate of $0.18 per share. The Company shall have the right, on 30 days' notice, to redeem all or any portion of the principal plus accrued Interest due on the Debentures. Holders have the right to convert during the 30 day notice period.

The proceeds of the Convertible Unit Offering will be used to implement the Company's business plan, which includes expansion of the Company's Diagnostic Clinics in China, listing on a senior stock exchange and general corporate purposes. The Debentures and Common Shares issuable upon conversion of the Debentures will be subject to a four-month hold period from the date of closing.
