Axway Finalises Acquisition of Vordel

Regulatory News:

Axway (Paris:AXW) (NYSE Euronext: AXW.PA) has finalised the acquisition of Vordel, a leader in software technologies that enable enterprises to deliver APIs for Cloud and Mobile.

As stated in the intent to acquire Vordel, published on 7 November 2012, Axway Software has concluded the acquisition of 100% of Vordel Limited and subsidiaries.

The transaction was finalised after the successful conclusion of negotiations between the two companies and consultation meetings of the appropriate Works Councils. The acquisition is a cash transaction. All of Vordel's worldwide revenues will be consolidated from November 2012.

For Axway, the acquisition enhances its position in the API and Identity management market, enabling it to take the leadership position in an emerging and promising market segment. API Management expands Axway's MFT, B2B and integration heritage, providing customers with a single solution to own the enterprise edge and govern flows of data that extend to Cloud and Mobile access.

The Irish company Vordel was founded in 1999 in Dublin and employs 55 people. Vordel recorded 2011 revenue in excess of €8 million, up 30% compared with 2010 and is expected to deliver similar growth in 2012 and 2013. Vordel's technology is deployed in more than 200 companies in the US, UK Continental Europe, Latin America and Asia Pacific.
